This agreement governs your use of the VPParadise venue management service. Please read it carefully before creating an account.
By creating an account, accessing, or using VPParadise ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms are a binding agreement between you ("Subscriber," "You," or "Your") and JwlTek LLC ("Company," "We," "Us," or "Our").
VPParadise provides web-based venue management software designed for wedding and event venues. The Service includes lead management, event scheduling, staff coordination, document generation, payment processing, messaging, and related features as described on the VPParadise website.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice to subscribers.
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.
You may not use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
We offer a 14-day free trial. You may cancel before the trial ends and will not be charged. A valid credit card is required to start the trial.
Paid subscriptions are billed monthly in advance. All fees are non-refundable except as expressly stated in these Terms or as required by applicable law.
Payments are processed securely through Stripe. We do not store full credit card numbers on our servers. By providing payment information, you authorize us to charge the applicable fees to your designated payment method.
You may upgrade or downgrade your plan at any time. Changes take effect immediately. Downgrades may result in reduced access to certain features.
If payment is not received by the due date, we may suspend access to the Service until payment is made. Continued non-payment may result in account termination.
You retain ownership of all data, content, and information you enter into the Service ("Your Data"). We will not access, use, or share Your Data except as necessary to provide the Service, comply with legal obligations, or as described in our Privacy Policy.
We implement reasonable administrative, physical, and technical security measures to protect Your Data. However, no method of electronic storage or transmission is completely secure.
Upon termination of your account, we will delete Your Data within a reasonable period unless we are required by law to retain it.

The Service, including its software, design, branding, and content (excluding Your Data), is owned by JwlTek LLC and protected by intellectual property laws. You may not reproduce, modify, distribute, or create derivative works without our express written permission.
The Service integrates with third-party services including Stripe (payment processing), Resend (email delivery), and Sentry (error monitoring). Your use of these services is subject to their respective terms of service and privacy policies.
To the maximum extent permitted by law, JwlTek LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of revenue, loss of data, or business interruption.
Our total liability for any claim arising from these Terms or the Service shall not exceed the total amount paid by you in the twelve months preceding the claim.
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not guarantee that the Service will be uninterrupted, error-free, or secure at all times.
You may terminate your account at any time by contacting us. We may terminate or suspend your account immediately if you violate these Terms or engage in conduct that we determine, in our sole discretion, to be harmful to the Service or other users.
Upon termination, your right to use the Service ceases immediately. Sections related to Data Ownership, Limitation of Liability, and Dispute Resolution shall survive termination.
We may update these Terms from time to time. Material changes will be communicated via email or through the Service. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
These Terms are governed by the laws of the State of Wisconsin. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, with the venue in Dane County, Wisconsin.
You agree that any claim must be brought within one year of the event giving rise to the claim.
